1.1 By accessing and using the Services, you agree to these terms and conditions, which establish the contractual relationship between you and OneDoor. If you do not agree with these terms, you may not access or use OneDoor's services.
1.2 OneDoor may, at any time and for any reason, terminate these Terms or any related Service with you or, in general, stop offering or deny access to the Services or any part of them.
1.3 You are responsible for maintaining the confidentiality of your account and/or your API key, as well as all activities that occur under your account and API key. You agree to immediately notify OneDoor of any unauthorized use of your account and/or API key or any other security breach and to ensure that you log out at the end of each use. OneDoor shall not be liable for any loss or damage arising from your failure to comply with this guideline.
1.4 YOU ACKNOWLEDGE THAT ONEDOOR IS NOT A GOODS PROVIDER, DOES NOT PROVIDE DELIVERY OR LOGISTICS SERVICES, AND DOES NOT OPERATE AS A DISTRIBUTOR, AND THAT ALL SUCH DELIVERY AND LOGISTICS SERVICES ARE PROVIDED BY USERS WHO ARE NOT EMPLOYEES OR REPRESENTATIVES OF ONEDOOR OR ANY OF ITS AFFILIATES.
1.5 Modifications to the Terms of Use: OneDoor may modify the Terms of Use periodically, including the Privacy Policy. Such modifications will take effect immediately, but for current subscribers, they will take effect 30 days after publication, unless otherwise specified.
1.6 By using OneDoor's service, you consent to receiving electronic communications from OneDoor related to your account. The communication will include emails sent to the address provided during registration, notices posted on OneDoor's service, and may include account-related notifications (confirmations and other information). Such communication will be part of your relationship with OneDoor.

2. Los servicios

2.1. Through the Platform, OneDoor is an orchestration system that unifies route planning services, TMS (Transportation Management System), monitoring, route management, and order management. Thus, the services provided by OneDoor to its Users can be summarized as the availability of the Platform and APIs for logistics management and planning.
2.2. Some content is provided under third-party licenses and is subject to copyright and other intellectual property rights owned by or licensed to OneDoor. You may be liable for any unauthorized copying or disclosure of such content.

3. Uso de los servicios

3.1. Upon completing the contract process, OneDoor grants you a non-exclusive, non-transferable license to access the Services, providing an account defined by a user and a password and/or an API key.
3.2. You are responsible for maintaining the confidentiality of your account and/or your API key and for all activities that occur under your account and API key.
3.3. You agree to immediately notify OneDoor of any unauthorized use of your account and/or API key or any other security breach and to ensure that you log out at the end of each use. OneDoor shall not be liable for any loss or damage arising from your failure to comply with this guideline.

4. Usuario

4.1 You acknowledge that this Agreement constitutes a legal, valid, and binding obligation, enforceable in accordance with its terms, without the need for a signature, consent, approval, notification, and/or registration by the User or any governmental authority.
4.2 The User must provide accurate and truthful information and commit to updating their personal data when necessary. If we have reason to believe that any registered information is not truthful, we may suspend or cancel the user's account, as well as refuse to provide any of our services.

5. Limitaciones y Responsabilidad

5.1. DISCLAIMER OF WARRANTIES AND LIMITATIONS OF LIABILITY: THE ONEDOOR SERVICE AND ALL ASSOCIATED CONTENT AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. ONEDOOR DOES NOT GUARANTEE THAT YOUR USE WILL BE UNINTERRUPTED OR ERROR-FREE AND DISCLAIMS ANY LIABILITY ARISING FROM YOUR USE OR THE USE OF RELATED APPLICATIONS, DEVICES, AND SOFTWARE.

6. Restricciones

6.1. You may not: 1) Remove copyright notices, trademarks, or any other proprietary notice.
2) Reproduce, modify, distribute, sell, or exploit the Services without express authorization.
3) Attempt to gain unauthorized access to the Services.
7. Indemnización

7.1. You agree to indemnify and hold OneDoor harmless from any claim, liability, demand, and expense, including, but not limited to, attorney fees and legal costs, made by any third party due to or as a result of your use of the Service, your connection to the Service, your violation of these Terms, or your infringement of third-party rights. You understand that the technical processing and transmission of the Service, including its content, may involve transmissions over various networks and changes to comply and adapt to the technical requirements of network or device connections.
7.2. You acknowledge and agree that OneDoor may retain Content and may also disclose it if required by law or in good faith if such retention or disclosure is reasonably necessary to comply with legal processes, enforce the Terms of Service, respond to claims that certain content violates third-party rights, or protect the rights, property, or personal safety of OneDoor users and the general public.
7.3. You acknowledge and agree that the Service contains proprietary and confidential information protected by applicable intellectual property laws and other regulations. The User acknowledges and agrees that the Content included in, or information presented to the Licensee through OneDoor or its providers, is protected by copyright, trademarks, service marks, patents, or other proprietary rights and corresponding laws.

8. Seguridad y privacidad

8.1. OneDoor commits to keeping all registration data, including the provided email, access IP address, and other personal information not required for the use of the Services, protected and confidential.
8.2. Using the Service implies the User’s consent for the collection, storage, and use of the provided personal information and its updates, traffic data, IP addresses, among others.
8.3. You agree to allow access to your approximate location to provide better service and experience.
8.4. You acknowledge that OneDoor may collect and use technical data from your device, such as specifications, configurations, operating system versions, internet connection type, among others, to better adapt its platform and provide the best possible experience.
8.5. OneDoor may use the information and/or data provided and/or collected from the User, which is hereby authorized, to:
1) Monitor the User’s activities to more effectively manage traffic on the Platform;
2) Provide services to the User;
3) Create and manage User Accounts;
4) In other cases necessary for the effectiveness, maintenance, and security of the Platform.

9. Propiedad intelectual

9.1. You acknowledge that we or our licensors own all rights, title, and interest in the APIs, Services, and OneDoor Brands, and any related intellectual property rights, including, but not limited to, all modifications, improvements, derivative works, and updates to these.
9.2. You agree not to use or register any trademark, service mark, trade designation, domain name, social media account name, or title that incorporates, in whole or in part, OneDoor’s trademarks or is similar to them.

10. Publicidad

From the moment you create your account on OneDoor, you become our client and, as such, authorize us to include your company name and logo on our website and other communications with third parties.
